1. Introduction

  • These Terms and Conditions (the “Terms”) govern your use of the narulaadtech.com website (the “Site”) and any services offered by Narula AdTech. (the “agency”, “we”, “us”, or “our”). By accessing or using the Site or services, you agree to be bound by these Terms.

  • If you disagree with any part of the Terms, do not use the Site or services.

  • “User” means any person or entity that accesses or uses the Site or services.

  • “Content” means all text, images, graphics, logos, video, audio, and other materials on the Site, including user-generated content where applicable.

  • “Services” means any advertising, digital marketing, LED display, consultancy, or related services offered by the Agency.

  • Eligibility: You must have legal capacity to enter into binding contracts to use the Site. If you are a minor, you may use the Site only with involvement of a parent or guardian.

  • Registration: Some features may require registration. You must provide accurate, current, and complete information and keep it updated.

  • Prohibitions: You agree not to misuse the Site, interfere with its operation, upload malware, impersonate others, or engage in fraud.

  • Performance: The Company will perform Services in a professional and timely manner, in accordance with industry standards and any agreed milestones.

  • Change Requests: Any changes to scope, schedule, or cost must be documented in writing and approved by both parties.

 

6. Pricing and Payments

  • Pricing: All prices are in Indian Rupees unless stated otherwise and are subject to change with or without notice.

  • Invoicing and Payment: Invoices are due on the date stated in the invoice. Late payments may attract interest at the rate specified in the invoice or legally permissible late fees.

  • Taxes: All applicable taxes (including GST) are payable by the client at the applicable rates, unless specifically exempt.

 

7. Confidentiality

  • Each party agrees to keep confidential and not disclose the other party’s confidential information received in connection with the Site or Services, except as required by law or with prior written consent.

  • Return or Destruction: Upon termination or request, confidential information should be returned or securely destroyed.

 

8. Data Privacy and Security

  • Privacy: The Company processes personal data in accordance with its privacy policy and applicable data protection laws.

  • Data Security: The Company will implement reasonable security measures to protect data but cannot guarantee absolute protection against all threats.

  • Data Ownership: Clients retain ownership of their data; the Company processes data only as necessary to provide Services.

 

9. Third-Party Links and Content

  • The Site may contain links to third-party sites. The Company is not responsible for third-party content or practices. Use of third-party sites is at your own risk.

 

10. Limitation of Liability

  • To the maximum extent permitted by law, the Agency shall not be liable for indirect, incidental, special, or consequential damages arising out of or in connection with the Site or Services.

  • The total liability of the Company for any claims arising under or in relation to these Terms shall not exceed the fees paid (if any) for the particular Service giving rise to the claim, except where prohibited by law.

 

11. Indemnification

  • You agree to indemnify, defend, and hold harmless the Agency and its affiliates, officers, owners, directors, employees, and agents from and against any claims arising from your use of the Site or services, violation of these Terms, or infringement of any rights of a third party.

 

12. Termination

  • The Company may suspend or terminate access to the Site or Services at any time for breach of these Terms or for safety, legal, or regulatory reasons.

  • Upon termination, all licenses granted herein terminate, and you must cease all use of Content unless legally required to retain it.

 

13. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of India.

  • Disputes arising out of these Terms shall be resolved amicably where possible. If not resolved, disputes shall be settled by arbitration or in the courts only in Bhubaneswar jurisdiction, as agreed in the service agreement.

 

14. Modifications to Terms

  • The Company may modify these Terms from time to time. Any material changes will be communicated on the Site or via notice. Your continued use after the effective date constitutes acceptance of the revised Terms.

 

15. General Provisions

  • Entire Agreement: These Terms and any service orders or policies referenced herein constitute the entire agreement between you and the Company regarding the Site and Services.

  • Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

  • Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term.
